Austria Metall sells shares
Up until now there has been a reciprocal interlinking between Constantia Packaging AG, Vienna and Austria Metall AG (AMAG), Ranshofen. Since May 2004 Constantia Packaging AG has held 25% + 1 share in AMAG. Up to the present time AMAG has held 12.83% (2,156,000 shares) of the shares of Constantia Packaging AG.Today AMAG sold this 12.83% interest to Constantia Packaging B.V., Holland. This is the
majority owner of Constantia Packaging AG and beyond this holds 15% in AMAG. The
selling price was € 50.70 per no par value share and was calculated from the average
market price in the months of February to July 2007.
Through the share purchase agreements between Constantia Packaging AG and Klaus
Hammerer GmbH / AMAG Arbeitnehmer Privatstiftung signed on 6 July 2007, Constantia
Packaging AG and Constantia Packaging B.V. will in the future hold larger interests in
AMAG. The future ownership structure of AMAG is represented as follows:
Constantia Packaging: 73.45%
Constantia Packaging B.V.: 16.55%
AMAG Arbeitnehmer Privatstiftung: 10%.
The closing of the transactions, and in particular the permits under cartel law, is
anticipated for the second half of 2007.
